Acceptance of Terms

1.1. By accessing or using the Platform, including any services, content, and data available through it (collectively, the "Service"), you agree to be bound by these Terms. This agreement is a prerequisite for your use of the Platform. If you do not agree with any part of these Terms, or if you are not eligible or authorized to be bound by them, you must not access or use the Service.

1.2. The Administrator's Privacy Policy and any other supplemental terms, rules, or policies posted on the Platform are hereby incorporated by reference. We reserve the right, at our sole discretion, to modify or change these Terms at any time without prior or subsequent notice.

Important Disclaimers

2.1. "As Is" Basis. The Service is provided "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS." The Administrator disclaims all warranties, whether express or implied, including, but not limited to, guarantees regarding the condition, quality, duration, performance, accuracy, reliability, commercial value, and suitability of the Service for specific purposes. All such warranties and liabilities are hereby excluded.

2.2. No Guarantee of User Content. The Administrator does not control and cannot guarantee the existence, quality, safety, or legality of goods and services advertised by users on the Platform. We make no guarantees about the trustworthiness or accuracy of information provided by users, the ability of sellers to sell, the ability of buyers to pay, or that any transaction will be completed. We do not guarantee that the manufacture, import, export, offer, display, purchase, sale, advertising, and/or use of products or services on the Platform do not infringe on any third-party rights. Consequently, the Administrator expressly disclaims any and all liability related to materials and information posted by users on the Platform.

2.3. User Responsibility. You are solely responsible for conducting due diligence. You are encouraged to inspect goods before payment and to request sellers to provide documents confirming compliance with applicable laws and standards.

2.4. Safety and Due Diligence. You acknowledge that you are solely responsible for your safety. You understand that you should meet with other individuals for transactions only in safe, public places during daylight hours. The Administrator disclaims any responsibility for your interactions with any other individual or organization.

Account Registration

3.1. Account Creation. To access certain features of the Service, you may be required to register an account ("Account") and provide accurate and complete information as prompted by the registration form.

3.2. User Types and Limitations. You may create an Account as an individual or as an authorized representative of a company, partnership, or sole proprietorship. You are permitted to register only one Account. If more than one person accesses an Account from the same device, we may request proof of identity to prevent duplicate accounts. The Administrator reserves the right to permanently restrict a user from the Service if multiple accounts are discovered to be operated by a single individual, without the need for further correspondence.

3.3. Account Security. You are solely responsible for safeguarding the confidentiality of your Account access details. You are fully responsible and liable for all activities performed using your Account. You agree to immediately notify the Administrator of any unauthorized use or suspected breach of your Account security. The Administrator is not liable for any loss or damage resulting from your failure to comply with these security requirements, including any unauthorized use due to your negligence.

3.4. Age Restrictions. By using the Service, you represent and warrant that you are at least 18 years of age. Users under the age of 18 are not permitted to access or use the Service. The Administrator is not liable if a minor uses the Service without proper age verification.

3.5. Suspension or Termination of Account. The Administrator reserves the right to suspend or terminate your Account, or restrict your access to the Service, with or without notice, if:

• You breach these Terms.
• We detect suspicious activity on your Account.
• We have reasonable grounds to believe you are engaging in fraudulent activities, scams, creating duplicate profiles, or otherwise misusing the Service.
• You are selling substandard or illegal goods or providing illegal services.
• You are promoting nudity or pornography.
• You are engaging in political, religious, or cultural intolerance.

The grounds listed above are not exhaustive. The Administrator may take similar action in other circumstances deemed necessary to protect the integrity, security, and functionality of the Service, or to safeguard the interests of other users and third parties.

Service Description

4.1. Platform Function. The Platform is a social advertising service that enables users to create and publish creative advertisements ("Ads"), organize content into collections ("Vases"), share short-form content ("Reels"), engage with other users' content through comments, likes, and shares, and connect with other creators and businesses.

4.2. Administrator's Role. The Administrator operates as a social media platform for advertising content. We provide tools for content creation, discovery, and social engagement. The Administrator does not create, endorse, or guarantee the accuracy of user-generated content. Users are solely responsible for their content and any interactions or opportunities that may arise from their presence on the Platform.

4.3. Content Moderation. The Administrator reserves the right to remove or restrict access to any content posted by users without prior notice in the event of:

• A mandatory order from a competent public authority.
• A claim from an intellectual property rights holder seeking to terminate infringement.
• An infringement of the rights or legal interests of other users, legal entities, or individuals.
• Detection that content breaches these Terms or any applicable law, regulation, or community standard.

The Administrator may remove or restrict content at its sole discretion.

4.5. Changes to the Service. The Administrator may implement changes to the Service (both free and paid features) at any time, with or without notice. You acknowledge that various actions by the Administrator may impair or prevent your access to the Service for limited or permanent periods. You agree that the Administrator has no responsibility or liability for such actions, including the deletion of or failure to make available any content or services.

4.6. User-Generated Content. Each user is solely responsible for their user-generated content ("User Content"). Because we do not control User Content, you acknowledge that we are not responsible for its accuracy, currency, suitability, or quality. We assume no responsibility for any User Content.

4.7. User Interactions. Your interactions with other users are solely between you and that user. You agree that the Administrator is not responsible for any loss or damage incurred as a result of these interactions. In the event of a dispute between you and another user, we are under no obligation to become involved.

4.8. Release of Liability. You hereby release us, our officers, employees, agents, and successors from all claims, demands, losses, damages, rights, and actions of any kind, including personal injuries, death, and property damage, that are directly or indirectly related to or arise from any interactions with other users or any Third-Party Ads.

Content Creation and Posting

5.1. User Verification. Upon the Administrator's request, you must provide documents confirming your identity and the legitimacy of your content.

5.2. Content Accuracy. Users who post advertisements, promotional content, or business information must provide accurate and complete information. Content must not be misleading, deceptive, or misrepresent products, services, or business offerings.

5.3. Compliance. All content posted on the Platform must comply with these Terms and all applicable laws, regulations, and advertising standards.

5.4. Intellectual Property. You must have the necessary rights, licenses, or permissions to use and share all content you post on the Platform, including images, videos, audio, text, and logos.

Objectionable Content and Abusive Users

6.1. No Tolerance. The Administrator has no tolerance for objectionable content or abusive behaviour on the Platform. Objectionable content includes, without limitation, content that is unlawful, defamatory, obscene, pornographic, sexually explicit, violent or gratuitously graphic, hateful, discriminatory, harassing, threatening, bullying, fraudulent or deceptive, or that promotes self-harm, terrorism, or the exploitation or endangerment of children.

6.2. Prohibited Conduct. You must not post, upload, transmit, or share objectionable content, and you must not harass, threaten, impersonate, stalk, or otherwise abuse another user, whether publicly or through direct messages. By posting User Content you represent that it does not breach this clause.

6.3. Reporting. Advertisements, posts, vases, reels, articles, comments, messages, and user accounts can be reported directly from the menu or Report action shown on the item, conversation, or profile concerned. Any content or conduct for which no Report action is shown may be reported by writing to support@adsvase.com, which reaches the same moderation queue.

6.4. Review and Enforcement. Reports are reviewed and acted on within 24 hours. Content found to breach these Terms is removed, and the Accounts responsible are suspended or terminated in accordance with clause 3.5. The Administrator may act on a report before completing its review where the content appears to present an immediate risk of harm.

6.5. Blocking Users. You may block any other user from their profile, from the menu on any of their content, or from within a conversation with them. A blocked user cannot message you, and their content is withheld from your view. You may review and undo your blocks at any time from your account settings.

User Representations and Warranties

By using the Service, you represent and warrant that:

1. You have the legal capacity to enter into this agreement and will comply with these Terms.
2. If you are registering as a representative of a legal entity, you are authorized by that entity to enter into an agreement with us and other users of the Platform.
3. You are at least 18 years of age.
4. All information provided in your Account is true, accurate, and complete, and you will promptly update it to maintain its truthfulness.
5. You will immediately change your Account access data if you suspect it has been disclosed to or used by a third party, and you will notify the Administrator of any unauthorized access.
6. You will not provide any false or misleading information about your identity or location.
7. You will use the Service in strict compliance with all applicable laws, regulations, rules, and guidelines.
8. You will not use the Service for any illegal or unauthorized purpose, nor will you advertise illegal goods or services.
9. You will not post adverts that infringe on any third party's rights or interests, including intellectual property, personal, or proprietary rights.

Indemnification

8.1. You agree to indemnify and hold harmless the Administrator, its successors, subsidiaries, affiliates, related companies, suppliers, licensors, and partners, as well as their respective officers, directors, employees, agents, and representatives, from any claim or demand, including costs and attorneys' fees, made by any third party due to or arising out of:

• Your use of the Platform.
• Your User Content.
• Your violation of any representation, warranty, covenant, or obligation in these Terms.
• Your violation of any applicable law, industry standard, regulation, guideline, or rule.
• Any transaction you enter into via the Platform or your violation of the terms of such a transaction.

8.2. The Administrator reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

Limitation of Liability

9.1. IN NO EVENT SHALL WE (AND OUR AFFILIATES) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

Grant of License

10.1. You agree that the Administrator may retain copies of all registration information and User Content and use such information and User Content as reasonably necessary for or incidental to its operation of the Service, as described in these Terms and the Privacy Policy.

10.2. You grant the Administrator a non-exclusive, worldwide, transferable, perpetual, and irrevocable right to copy, modify, adapt, store, publish, distribute, publicly display and perform, communicate, and make available to the public the User Content in connection with the Service. This includes the right to use and make the User Content public on affiliated websites, as well as for the Administrator's marketing, advertising, and other purposes.

10.3. You represent and warrant that your use of the Service or any portion thereof will not infringe upon or violate the rights of any other party, or breach any contract or legal duty to any other parties.

Miscellaneous Provisions

11.1. Severability. If any provision of these Terms is held to be invalid, void, or unenforceable, that provision shall be severed, and the validity and enforceability of the remaining provisions will not be affected.

11.2. Assignment. We may transfer and assign any or all of our rights and obligations under these Terms to any other person. By accepting these Terms, you consent to any such transfer or assignment.

11.3. No Waiver. If we fail to take action with respect to your breach of these Terms, it does not waive our right to exercise our rights and remedies in any other situation where you breach these Terms.

11.4. Force Majeure. The Administrator is not liable for any failure to comply with these Terms to the extent that such failure arises from factors outside of our reasonable control.

11.5. Effective Date. These Terms are effective as of Sunday, March 15th, 2026.

11.6. Data Protection. The Administrator processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable. By using the Service, you acknowledge and agree that your personal data will be collected, processed, and used as described in the Administrator’s Privacy Policy, which is incorporated herein by reference. You have the right to access, rectify, erase, and port your personal data, subject to applicable law.
